How Do I Create an LLC?
Creating an LLC requires (i) filing Articles of Organization with the Massachusetts Secretary of State; and (ii) paying a $500 fee to the state.
if you are creating a single member LLC- meaning you are the only owner and manager- the process is fairly straightforward and can be done online. You just want to be sure you have described the nature of your business broadly enough that you do not later have to amend the articles, and answer all required fields. If you have business partners, or someone besides the owner will be managing the company, you should also have an operating agreement. This agreement will define key things like decision-making, how people can enter or exit membership in the company, and more. The operating agreement should be written, or at least reviewed, by an attorney to make sure you have covered all of the bases. The operating agreement does not get filed with the Secretary of State, and is not a public document. Learn more here about incorporating your business in Massachusetts. |
