Meet Our Business Lawyers

Our business law team has helped many small business owners with a wide variety of legal issues, including business formation, legal advice about contracts, employment law advice, and litigation.

Emily Smith-Lee is the owner and founder of slnlaw. She has been practicing law since 1996. She began her practice in a large Boston, Massachusetts law firm. There, she represented businesses large and small in all aspects of civil litigation. She left that firm in 2009 to start her own law firm.

Since then, Emily has represented small business owners in litigation and non-litigation. She helps with business formation, trademark protection, contract drafting and review and other legal matters business owners face. She has also represented small businesses in state and federal courts. She has litigated breach of contract claims, employment law claims, intellectual property disputes, fiduciary duty claims, and more.

Emily has been named to the Super Lawyers directory every year since 2013. She was also named one of Massachusetts Lawyers' Weekly's 2018 Lawyers of the Year. This award recognized her achievement in winning an underdog case before the Massachusetts Supreme Judicial Court that changed Massachusetts law.

Emily is the author of "Rules of the Road- What You Need to Know About Employment Law in Massachusetts." She has also appeared as a guest on podcasts, radio shows and a local cable show to discuss business and employment law issues.

Jenna Ordway has been practicing law since 2013. In addition to her work as our lead estate planning attorney, Jenna also represents clients in business formation, creating shareholder and partnership agreements, and other compliance issues. Jenna was recognized as a Super Lawyers Rising Star in 2019.

Rebecca Rogers is a 2007 graduate of Boston College Law School and a former clerk for the Massachusetts Supreme Judicial Court. She also worked at a large Boston law firm for several years. As a former clerk at the state's highest appeals court, Rebecca also assists with representing individuals and businesses who need to pursue an appeal.

The types of matters our business law team handles include:

Business Formation. We can help you decide what kind of corporate form best meets your needs, and prepare and file the paperwork to create an LLC or an S Corporation.

Contract Review and Drafting. Contracts have consequences that many people don't consider until there is a dispute. We can help you make sure your interests are protected by creating contracts for you or reviewing and advising about vendor contracts you already have or are asked to sign.

Estate and Succession Planning.  We can help small business owners make sure their estate planning and succession planning is designed for the smooth transition of the business in the event of the owner's death or disability.


Trademark Registration. Once you have a name, tagline, and/or images that you use in your business, you can protect it by registering a trademark. We can help you assess whether your information is eligible for trademark protection. We can also handle the filing and paperwork necessary to secure that protection.

Civil Lawsuit Defense. If you have been named in a civil suit, we can help. We have handled lawsuits in federal and state courts in Massachusetts.

Working With Our Business Lawyers

Working with our business lawyers is easy. Below is a brief overview of our process. All engagements with slnlaw begin with a free consultation.

At the consultation, a member of our team will learn more about the issues you have. If it is something we can help you with, and you want to work with us, you will be asked to sign an engagement letter.

Most business matters are billed on an hourly basis, and you may be asked at the beginning to provide a deposit for 1-2 hours of attorney time.

Once you have engaged the firm, you will be assigned an attorney who will reach out to you directly to get started on your matter.

You also have the option to join our business membership program. This program is best suited for businesses who do not have a corporate attorney but have a periodic need for legal advice on small matters. The membership program does not require a large retainer. Instead, it is subscription based, at a monthly fee equal to our average standard rate for one hour of attorney time.
