Close Corporation and Shareholder disputes: officers, directors, and shareholders of close corporations have certain obligations to one another imposed by law, which if not properly understood can lead to conflict and litigation. Trade Secrets and Non-Compete Agreements: Protecting your trade secrets requires more than just having key employees sign non-compete agreements or nondisclosure agreements.  We have extensive experience in litigation of claims relating to trade secrets and non-compete agreements: we can help you if you find yourself in litigation, or if you need proactive advice about protecting your business from either litigation or disclosure of your own trade secrets.

Contract disputes: no matter how carefully a contract is drafted, when the business relationship breaks down, parties often view the terms of the deal very differently.  We have handled contract claims in many different industries at the state, federal, and appellate levels.

Unfair and Deceptive Business Practices: Massachusetts law allows for strict penalties for unfair and deceptive business practices, not only between a business and consumer but also business-to-business. Massachusetts courts have consistently declined to set a "bright line" test for unfair and deceptive business practices.  This means it is not always clear whether your business will have exposure for such a claim, or could assert such a claim against another business.  We have experience handling these claims in litigation and mediation.

Employment and Labor Law:  In Massachusetts, employment is generally "at-will," meaning employees or employers can terminate the employment relationship with or without cause.  There are important exceptions to this, including laws relating to discrimination and wrongful termination; there are also important obligations an employer has with respect to employee classification, overtime compensation, and wage and hour laws.  We have experience litigating claims in all of these areas.
